Terms of Service

1. Agreement to these terms

These Terms of Service govern your access to and use of Paperclip's websites, applications, and related services. In these terms, “Paperclip,” “we,” “us,” and “our” refer to the independent Paperclip software service and its operator.

By creating an account or using the service, you agree to these terms. If you do not agree, do not use Paperclip.

2. Eligibility and accounts

You must be at least 16 years old to use Paperclip. If the law where you live requires parental or guardian consent for you to use the service, you may use Paperclip only with that consent.

You must provide accurate account information, keep your login credentials secure, and promptly notify us if you believe your account has been compromised. You are responsible for activity that occurs through your account.

3. What Paperclip provides

Paperclip provides software for creators to organize brand relationships, deals, deliverables, rates, invoices, documents, media kits, connected social profiles, and related business information.

Paperclip is not your agent, employer, accountant, bank, law firm, tax adviser, or financial adviser. Information and estimates provided through the service are for general organizational purposes and are not professional advice.

4. Plans, trials, and subscriptions

Paperclip may offer free and paid plans. Current features, limits, prices, and billing intervals are shown before purchase. Payments are processed by our payment provider, Polar. We do not directly store complete payment-card details.

Paid subscriptions renew automatically at the stated interval until cancelled. You may cancel through the available billing controls. Cancellation stops future renewal charges and takes effect at the end of the paid billing period unless applicable law requires otherwise.

We may change prices prospectively. We will give existing subscribers reasonable notice before a price change takes effect. Any founding-member price commitment shown at purchase continues only while the qualifying subscription remains active and uninterrupted.

5. Refunds

You may request a refund of your first paid subscription charge within 14 days after that charge. Email hello@papercliphq.com from the address associated with your account. This policy does not limit any cancellation or refund rights that cannot be excluded under applicable law.

Except where required by law or stated above, later renewal charges and partially used billing periods are non-refundable.

6. Your content and business data

You retain ownership of content and information you submit to Paperclip. You give us a limited, non-exclusive permission to host, copy, process, transmit, and display that content only as needed to operate, secure, support, and improve the service or to comply with law.

You represent that you have the rights and permissions needed to provide the content and personal information you submit. You are responsible for the accuracy, legality, and consequences of that content.

7. Connected services

Paperclip may let you connect third-party services such as Google or TikTok. Your use of a connected service remains subject to that provider's terms. You authorize us to access and process only the account information and permissions you approve during the connection flow.

You may disconnect a supported integration from Paperclip. A third-party provider may also change, restrict, or discontinue its service, which can affect Paperclip features.

8. Clippy and AI-assisted features

AI-assisted features can produce incomplete or inaccurate results. Review outputs before relying on or sending them. You remain responsible for decisions, messages, documents, and other actions based on an AI-generated result.

Do not submit information to an AI-assisted feature unless you have permission to use it for that purpose. We may apply reasonable rate limits and safeguards to maintain availability and prevent abuse.

9. Acceptable use

You may not use Paperclip to:

  • break the law, violate another person's rights, or facilitate fraud;
  • upload malware or interfere with the service, its security, or other users;
  • access accounts, data, or systems without authorization;
  • misrepresent your identity or your relationship with another person or brand;
  • scrape, overload, reverse engineer, or circumvent service limits except where law permits;
  • resell or exploit the service in a way not expressly authorized by us.

10. Paperclip materials

Paperclip and its software, design, branding, and original content are protected by intellectual-property laws. These terms give you a limited, revocable, non-transferable right to use the service for its intended purpose. They do not transfer ownership of Paperclip materials to you.

11. Changes and availability

We may add, change, suspend, or remove features to maintain or improve Paperclip. We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. When reasonably possible, we will give notice of material changes that significantly reduce a paid service.

12. Suspension, termination, and deletion

You may stop using Paperclip at any time. To request account deletion, email hello@papercliphq.com from your account email.

We may suspend or terminate access if you materially breach these terms, create a security risk, misuse the service, or if law requires us to do so. Where appropriate, we will give notice and an opportunity to address the issue.

13. Disclaimers and liability

To the maximum extent allowed by law, Paperclip is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent allowed by law, Paperclip is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Paperclip's total liability arising from the service will not exceed the amount you paid Paperclip during the three months before the event giving rise to the claim. These limitations do not apply where they are prohibited by law.

14. Changes to these terms

We may update these terms to reflect changes to Paperclip, law, or our practices. We will post the updated version and change the date above. If a change materially affects your rights, we will provide additional notice when reasonably required. Continued use after the effective date means you accept the updated terms.

15. General terms

If a provision of these terms is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer these terms without our consent. Applicable law and courts with lawful jurisdiction govern disputes, subject to any mandatory consumer protections that apply to you.
